1. Welcome

Welcome to the RPA Commercial Loans Referral Agent Program. We are excited to work with you. This program is designed for professionals, accountants, financial advisors, business consultants, attorneys, insurance agents, and others, who regularly interact with clients who need commercial financing but who are not themselves licensed loan originators or real estate brokers.

As a Referral Agent, your role is simple: introduce people in your professional network to RPA Commercial Loans. When those introductions result in a funded loan, you earn a referral commission. You do not need to know the details of commercial lending. That is RPA's job. Your value is in the introduction.

2. How the Program Works

The Referral Agent Program is built on a straightforward principle: you introduce a client to RPA, RPA handles the loan from application through closing, and when the loan funds, you receive a commission. There are no quotas, no minimums, and no cost to participate.

2.1 The Referral Cycle

You identify a client with a financing need.

A client in your network mentions they are looking to purchase a commercial property, refinance an investment, or need a business loan secured by real estate. You recognize an opportunity to refer them to RPA.

You refer the client.

You share your personalized referral link with the client or submit a referral on their behalf through your Referral Agent Portal.

RPA takes it from there.

An RPA loan officer contacts the client, guides them through the application process, collects documentation, and presents the loan to qualified funders in the RPA network.

Loan closes and you get paid.

When the loan funds, RPA calculates your referral commission and pays you within 10 business days.
ℹ️You are not involved in the loan process itself. You do not need to gather documents, communicate with lenders, or manage the transaction. Your entire contribution is the introduction.

2.2 Who Can You Refer?

You can refer any individual, business, or entity seeking commercial real estate financing, including:

  • Real estate investors purchasing or refinancing rental properties
  • Small business owners looking to purchase or refinance commercial real estate
  • Developers seeking construction or bridge financing
  • Businesses needing equipment financing or working capital secured by real estate
  • Property owners seeking cash-out refinancing

2.3 Loan Types Available

RPA originates a wide range of commercial loan products, including:

  • Bridge and hard money loans (fast closings, asset-based)
  • Conventional commercial real estate loans
  • SBA 7(a) and SBA 504 loans (for small businesses)
  • USDA business loans (for rural areas)
  • Construction loans (ground-up and renovation)
  • Fix-and-flip financing
  • Agency loans (Fannie Mae, Freddie Mac, FHA)
  • CMBS and life company loans (for larger assets)

3. Joining the Program

Joining the RPA Referral Agent Program is free and takes only a few minutes. There are no licensing requirements to become a referral agent, though you must comply with any applicable laws in your state regarding compensation for referrals.

3.1 Registration Steps

Go to the registration page.

Complete the registration form.

Provide your full name, professional background, email address, phone number, and how you plan to refer clients. No license numbers are required.

Sign the Referral Agent Agreement.

You will receive a digital Referral Agent Agreement for e-signature. This agreement outlines your commission rate, payment terms, and conduct guidelines.

Complete your W-9.

Because RPA will pay you commissions, we collect your tax information through an integrated W-9 form. This is required before any payments can be made.

Receive your approval and portal access.

RPA reviews your registration within 1 to 2 business days. Upon approval, you receive your unique referral link, your portal login credentials, and access to your Referral Agent Dashboard.

3.2 No License Required (With Important Caveats)

Unlike mortgage brokers and loan originators, referral agents are generally not required to hold a real estate or mortgage license to receive referral commissions for commercial loan introductions, provided the referral is limited to the introduction itself and does not involve any activity that constitutes the practice of mortgage brokerage or loan origination.

⚠️Some states have laws that restrict who may receive compensation for mortgage loan referrals. You are responsible for understanding the laws of your state before accepting commissions. See Section 7 for more information.

4. Your Referral Agent Portal

Your Referral Agent Portal is where you manage your referrals, track deal progress, and monitor your commission pipeline. Log in at www.rpacommercialloans.com using your registered email.

4.1 Your Referral Dashboard

Your dashboard provides an at-a-glance view of all loans you have referred. You can see each loan's current stage in the pipeline, your pending commissions, and your total paid commissions to date.

4.2 Your Unique Referral Link

Your personalized referral link is available under "Referral Link" in your portal. Share it via email, text, social media, or embed it on your website. Every application submitted through your link is automatically attributed to your account.

💡Make it a habit to share your link proactively. Add it to your email signature, your LinkedIn profile, and your business card. The more touch points, the more referrals.

4.3 Referral Status Updates

You will receive automated email notifications when your referred loans reach key milestones: application received, documents collected, submitted to funders, term sheets received, and loan funded. You can also check status at any time through your portal.

4.4 Commission History

Your portal includes a complete commission history showing all earned, pending, and paid commissions. You can download statements for bookkeeping and tax purposes.

5. Making Referrals

5.1 Share Your Referral Link

The simplest method is to send your client your referral link. They click it, complete the Quick Application themselves, and the loan is attributed to you. This is the preferred method when the client is comfortable navigating the form independently.

5.2 Submit a Referral Through the Portal

For a more personal introduction, log in to your portal, click "New Referral," and enter the client's name, email, phone, and a brief note about their financing need. RPA will reach out to the client directly within one business day.

5.3 Tips for Making Great Referrals

  • Set expectations. Let your client know that RPA will contact them and that the process starts with a quick online application. The more prepared they are, the smoother the handoff.
  • Share this overview with them: RPA is a commercial loan origination company (not a bank) that connects borrowers with lenders. There is no cost to apply, and the origination fee is paid at closing only if the loan funds.
  • Follow up. A quick check-in with your client after the referral helps ensure the connection was made and shows you care.
  • Do not screen out. Even clients with complex situations or less-than-perfect credit may have viable options. Let RPA's loan officers evaluate the file.
📝You do not need to know the details of the loan. You just need to know the client has a commercial financing need. That is enough to make a referral.

6. Commissions & Compensation

Referral Agent commissions are paid when a loan you referred successfully closes and funds. Your specific commission rate is set out in your signed Referral Agent Agreement.

6.1 How Commissions Are Calculated

Your referral fee is ten basis points (10 bps) of the funded loan amount. This is paid entirely from RPA's origination revenue, it is not an additional cost to your client. Example: on a $1,000,000 funded loan, your referral fee is $1,000.

ℹ️Basis points (bps): 100 bps = 1.00% of the loan amount. Your rate of 10 bps = 0.10% of the funded loan amount, as set out in your signed Referral Agent Agreement.

6.2 Payment Schedule

  • Commissions are triggered upon loan closing and receipt of origination fee by RPA.
  • Payment is issued within 10 business days of confirmed loan funding.
  • Payment is made via ACH transfer to your bank account on file.
  • You will receive an email confirmation with a commission statement when payment is processed.

6.3 Tax Reporting

RPA will issue a Form 1099-NEC for any referral commissions totaling $600 or more in a calendar year. This is why the W-9 is required before any payments are made.

6.4 Commission Conditions

  • Commissions are earned only when a loan funds. No commission is paid for applications that do not close.
  • Your referral must be properly documented in the RPA system before the client submits their application.
  • Commissions may be withheld if a referral is found to involve fraud or material misrepresentation.

7. Compliance & Guidelines

While the referral agent role is generally low-risk from a regulatory standpoint for commercial loan referrals, there are important conduct guidelines and legal considerations you must be aware of.

7.1 What You May Do

  • Share information about RPA Commercial Loans with prospective clients.
  • Provide your referral link or submit referrals through your portal.
  • Tell clients that RPA offers a wide range of commercial loan programs and that applying is free.
  • Answer general questions about the referral process.
  • Receive commissions for funded loans that originated from your referral.

7.2 What You May NOT Do

  • Represent yourself as a loan originator, mortgage broker, or lender.
  • Collect any fees, deposits, or charges from clients in connection with the loan.
  • Discuss, negotiate, or advise on specific loan terms, rates, or conditions.
  • Access or share confidential borrower financial information.
  • Make promises or guarantees about loan approval, rates, or timelines on behalf of RPA.
  • Submit false or misleading information in any referral.
⚠️If a client asks you specific questions about loan terms, rates, or qualification, always refer them directly to RPA. Providing advice on these topics without proper licensing could expose you to legal liability.

7.3 State Law Considerations

Most states permit referral agent compensation for commercial real estate loan referrals without requiring a mortgage or real estate license, provided the agent's role is limited to making the introduction and does not involve loan origination activities. However, some states impose restrictions. You are responsible for understanding and complying with the laws of your state.

7.4 Disclosure to Clients

Best practice is to disclose to clients that you have a referral relationship with RPA and that you may receive compensation if their loan funds. Transparency builds trust and protects both you and your client.

8. Frequently Asked Questions

Q: Do I need any license or certification to be a referral agent?

A: In most states, no special license is required to receive compensation for referring clients to a commercial loan originator, provided your role is limited to making the introduction. However, state laws vary, and you are responsible for confirming that your state permits this arrangement without additional licensing.

Q: How is my referral tracked if I send someone my link?

A: Your unique referral link contains a tracking code that is captured automatically when the client submits their application. As long as the client uses your link to access the application form, the loan will be attributed to your account, even if they do not complete the form immediately.

Q: Can I refer clients from any state?

A: Yes. RPA operates nationwide. Your clients can be located in any U.S. state or territory. The only restriction is that the loan must be for a commercial real estate or business purpose, residential purchase-money loans for primary residences are outside RPA's scope.

Q: What if my client already started an application directly on the RPA website?

A: If your client began an application before you submitted your referral, the loan may not be attributed to you. Always register the referral through your portal or share your link before your client applies. Contact your RPA liaison immediately if you believe a referral was submitted outside your link.

Q: Is there a minimum loan size for me to earn a commission?

A: There is no formal minimum, but very small loan amounts may result in correspondingly small commissions. The most productive referrals are typically for loans of $200,000 or more.

Q: How will I know if my referral was approved and is moving forward?

A: You will receive automated email notifications at each major milestone. You can also check your Referral Agent Portal at any time to see the current status of each referred loan.

Q: Can I refer multiple people at the same time?

A: Yes. There is no limit to the number of referrals you can submit at once. Each referral is tracked independently under your account.

9. Glossary

Basis Points (bps)

A unit equal to 1/100th of one percent (0.01%). Used to express commission rates. 100 bps = 1%. 50 bps = 0.5%.

Commercial Real Estate Loan

A loan secured by a commercial property (multifamily, office, retail, industrial, hotel, mixed-use, etc.) or used for a business purpose. Distinct from residential purchase-money loans.

Funder

RPA Commercial Loans' term for a lender or institutional capital source that reviews and funds loan submissions from the RPA network.

Loan Originator

A licensed professional who takes and processes mortgage loan applications. RPA loan officers are licensed originators. Referral agents are not loan originators.

LTV

Loan-to-Value ratio. The loan amount divided by the appraised property value. A key metric for commercial loan underwriting.

Origination Fee

The fee charged by RPA for originating the loan, typically expressed as a percentage of the funded loan amount. Your commission is paid from this fee.

Quick Application

RPA's online loan application, accessible at rpacommercialloans.com/apply or through your referral link. The starting point for all new loan requests.

Referral Agent Agreement

The signed contract between you and RPA governing the referral relationship, commission rate, payment terms, and conduct guidelines.

Referral Code / Referral Link

Your unique identifier embedded in a URL that attributes loan applications to your account when clients use it to apply.

Term Sheet

A non-binding proposal from a funder outlining the terms under which they are willing to lend. Marks the beginning of formal negotiations.

W-9

IRS tax form collecting your taxpayer identification number. Required before RPA can issue commission payments.

1099-NEC

IRS information return reporting non-employee compensation (including referral commissions). Issued annually for total commissions of $600 or more.
